1. INTRODUCTION
- Welcome to the Saralfee.com. This website is of the entity "Tecrics Technologies Private Limited" with the brand name "Saralfee."" This website is owned and operated by the Tecrics Technologies Private Limited, 210/2, Upper Palace, Orchards, Bellary Road, Bangalore, Karnataka, India - 560080. By visiting our website and accessing the information, resources, services, and other products and tools that are available on the website that we provide, you understand and agree to accept and adhere to the following terms and conditions as stated in this policy (hereinafter referred to as "User Agreement") along with the terms and conditions as stated in our privacy policy (please refer to the privacy policy simultaneously for more information).
2. DEFINITIONS
- "Customer Data" means any data, information, or material processed or stored by Customer in the Software.
- "Documentation" means any user instructions, manuals or other materials, and online help files regarding the use of the Software that are generally provided by Saralfee in connection with the Software.
- "Feedback" means suggestions, enhancements, feature requests, or other feedback provided by Customers or Users to Saralfee with respect to the Software.
- "Order" means the Software and Support Order completed by Customer setting forth the license or access to the Software to be provided to Customer by Saralfee.
- "Software" means the on-premises computer software program in executable form or online configurator SaaS offering specified in the Order, along with all Updates thereof released by Saralfee during the term of this Agreement.
- "Update" means a release or version of the Software containing functional enhancements, extensions, error corrections, or fixes that is generally made available free of charge to Saralfee customers.
- "Usage Data" means diagnostic and usage-related content from the operation of the Software and may include, but is not limited to, the type of browser and systems that are used and/or accessed, licensing, system, and service performance data. Usage Data does not, however, include Customer Data, except in aggregated and de-identified form.
- "Users" means all end users of the Software licensed or made available to Customer under this Agreement.
3. TERMS & RESPONSIBILITY
- That in order to access our resources, you may be supposed to provide your basic background details such as identification, email, phone number, contact details, etc., which is part of the registration process, or as part that enables you to use the resources. That you agree that any information provided by you at any time of using the website shall be accurate, correct, and up to date.
- You are solely responsible for entering your Customer Data (including personally identifiable information) into the Software. Saralfee will have the right to use the Customer Data for the sole purpose of providing the Software to you and to perform its obligations under this Agreement, including to prevent or address support, service, or technical problems. You shall not upload any Customer Data into the Software without sufficient rights to do so. Without limiting the foregoing, You, and not Saralfee, will be responsible for entering into any licenses from third parties who may have intellectual property rights in the Customer Data that may be necessary to use the Customer Data in connection with the Software, and you shall ensure that its use of the Customer Data complies with any non-disclosure obligations of Customer, and any applicable privacy policies or laws. In the course of providing, you with access to the Software, Saralfee may also collect, use, process, and store Usage Data in order to create and compile anonymized and aggregated statistics about the Software. You are solely responsible for (a) the accuracy, integrity, and legality of Customer Data and the means by which it acquires and uses such Customer Data, (b) determining the suitability of the Software for Customer's business, and (c) complying with any regulations and laws, (including, without limitation, export, data protection, and privacy laws) applicable to Customer Data and your use of the Software.
- That you are responsible for maintaining the confidentiality of any information associated with any account you use to access our resources. Accordingly, you are responsible for all activities under your accounts.
- That accessing or an attempt to access any of our resources by any means other than through the means we provide, is strictly prohibited. That you specifically agree not to access or attempt to access any of our resources through any automated, unethical, or unconventional means.
- Accessing any Saralfee ERP solution implies agreement to these terms, and any violations will be considered willful. Also, access is limited to Registered Users with valid login credentials. Unauthorized access attempts using invalid, stolen, or borrowed credentials are strictly prohibited.
- That engaging in any activity that disrupts or interferes with our Resources, including the servers and/or networks to which our Resources are located or connected, is strictly prohibited.
- Attempting to copy, duplicate, reproduce, sell, trade, or resell our resources is strictly prohibited.
- You are solely responsible for any consequences, losses, or damages that we may directly or indirectly incur or suffer due to any unauthorized activities conducted by you, as explained above, and may incur criminal or civil liability.
- We may provide various open communication tools on our website, such as blog comments, blog posts, public chat, forums, message boards, newsgroups, product ratings and reviews, various social media services, etc. You understand that generally we do not pre-screen or monitor the content posted by users of these various communication tools, which means that if you choose to use these tools to submit any type of content to our website, then it is your personal responsibility to use these tools in a responsible and ethical manner. By posting information or otherwise using any open communication tools as mentioned, you agree that you will not upload, post, share, or otherwise distribute any content that:
- Is illegal, threatening, defamatory, abusive, harassing, degrading, intimidating, fraudulent, deceptive, invasive, racist, or contains any type of suggestive, inappropriate, or explicit language.
- Infringes on any trademark, patent, trade secret, copyright, or other proprietary right of any party.

- Impersonates any person or entity, including any www.Saralfee.com employees or representatives.
- We do not assume any liability for any content posted by you or any other third-party users of our website. However, any content posted by you using any open communication tools on our website, provided that it doesn't violate or infringe on any 3rd party copyrights or trademarks, becomes the property of www.Saralfee.com, and as such, gives us a perpetual, irrevocable, worldwide, royalty-free, exclusive license to reproduce, modify, adapt, translate, publish, publicly display and/or distribute as we see fit. This only refers to and applies to content posted via open communication tools as described and does not refer to information that is provided as part of the registration process, necessary to use our Resources. All information provided as part of our registration process is covered by our Privacy Policy.
- You agree to indemnify and hold harmless Saralfee.com a digital property of Tecrics Technologies Private Limited (Saralfee) and its parent company and affiliates, and their directors, officers, managers, employees, donors, agents, and licensors, from and against all losses, expenses, damages and costs, including reasonable attorneys' fees, resulting from any violation of this User Agreement or the failure to fulfill any obligations relating to your account incurred by you or any other person using your account. We reserve the right to take over the exclusive defense of any claim for which we are entitled to indemnification under this User Agreement. In such event, you shall provide us with such cooperation as is reasonably requested by us.
4. MAINTENANCE AND SUPPORT
- Support - Saralfee shall provide "Maintenance and Support" as indicated in the Order for the Customers. At no additional charge, Saralfee shall provide Updates, if any, and appropriate Documentation.
- Customer's Obligations -
- Customer shall provide Saralfee with access to Customer's personnel during normal business hours to assist with Maintenance and Support.
- Customer shall use reasonable efforts to provide supervision, control, and management of the use of the Software.
- Customer shall document and promptly report all errors or malfunctions of the Software to Saralfee. Customer shall take all steps necessary to carry out procedures for the rectification of errors or malfunctions within a reasonable time after such procedures have been received from Saralfee.
- Customer shall use reasonable efforts to maintain a current backup copy of all Customer Data. Saralfee will not be responsible for loss of Customer Data.
- Customer shall properly train its personnel in the use and application of the Software.
- Customer shall use reasonable efforts to implement procedures for the protection of information and the implementation of backup facilities in the event of errors or malfunction of the Software.
5. PRIVACY
- Your privacy is of utmost important to us, which is why we have created a separate Privacy Policy in order to explain in detail how we collect, manage, process, secure, and store your confidential information. 6. LIMITATION OF WARRANTIES
- By using our website, you understand and agree that all Resources we provide are "as is" and "as available". This means that we do not represent or warrant to you that

- In conjunction with the Limitation of Warranties as explained above, you expressly understand and agree that any claim against us shall be limited to the amount you paid, if any, for the use of products and/or services. www.Saralfee.com will not be liable for any direct, indirect, incidental, consequential, or exemplary loss or damages which may be incurred by you as a result of using our Resources, or as a result of any changes, data loss or corruption, cancellation, loss of access, or downtime to the full extent that applicable limitation of liability laws apply.

- All content and materials available on www.Saralfee.com, including but not limited to text, graphics, website name, code, images, and logos are the intellectual property of Tecrics Technologies Private Limited (Saralfee) and are protected by applicable copyright and trademark law. Any inappropriate use, including but not limited to the reproduction, distribution, display, or transmission of any content on this site is strictly prohibited unless specifically authorized by Tecrics Technologies Private Limited (Saralfee).
- You should be aware that content (such as data files, written text, computer software, music, audio files or other sounds, photographs, videos, or other images) presented to you as part of the services, including but not limited to advertisements in the services and sponsored content within the services may be protected by intellectual property rights which are owned by the sponsors or advertisers who provide that content to Saralfee (or by other persons or companies on their behalf). You may not modify, rent, lease, loan, sell, distribute, or create derivative works based on this content (either in whole or in part) unless you have been specifically told that you may do so by Saralfee or by the owners of that content, in writing and a separate agreement.
9. TERMINATION OF USE
- You agree that we may, at our sole discretion, suspend or terminate your access to all or part of our website and Resources with or without notice and for any reason, including, without limitation, a breach of this User Agreement. Any suspected illegal, fraudulent, or abusive activity may be grounds for terminating your relationship and may be referred to appropriate law enforcement authorities. Upon suspension or termination, your right to use the Resources we provide will immediately cease, and we reserve the right to remove or delete any information that you may have on file with us, including any account or login information.
10. GOVERNING LAW
- This website is controlled by Tecrics Technologies Private Limited (Saralfee) from our offices located in Bangalore, Karnataka, India. It can be accessed by most countries around the world. By accessing our website, you agree that the statutes and laws of Bangalore, Karnataka, India without regard to the conflict of laws and the law prevalent in India for the time being in force will apply to all matters relating to the use of this website and the purchase of any products or services through this site.
- Furthermore, any action to enforce this User Agreement shall be brought in the Courts located in Bangalore, India. You hereby agree to personal jurisdiction by such courts and waive any jurisdictional, venue, or inconvenient forum objections to such courts.
11. CANCELLATION AND REFUND
- Cancellation of order is not possible once the payment has been made. No refunds will be given except in the event of cancellation or non-performance of service by Tecrics Technologies Private Limited (Saralfee).
12. GUARANTEE
- Unless otherwise expressed, www.Saralfee.com expressly disclaims all warranties and conditions of any kind, whether express or implied, including, but not limited to the implied warranties and conditions of merchantability, fitness for a particular purpose, and non-infringement.

In particular, Saralfee, its subsidiaries, and affiliates, and its licensors do not represent or warrant to you that:
- Your use of the services will meet your requirements.
- Your use of the services will be uninterrupted, timely, secure, or free from error.
- Any information obtained by you as a result of your use of the services will be accurate or reliable, and defects in the operation or functionality of any software provided to you as part of the services will be corrected.
- No advice or information, whether oral or written, obtained by you from fee collection or through or from the services shall create any warranty not expressly stated in the terms.
13. CONFIDENTIAL INFORMATION
- Definition. "Confidential Information" means all Software listings, Documentation, information, data, drawings, benchmark tests, specifications, trade secrets, object code and machine-readable copies of the Software, source code relating to the Software, and any information disclosed by either party to the other party, either directly or indirectly, in writing, orally or by inspection of tangible objects that are designated as "Confidential", "Proprietary" or some similar designation. Information communicated orally will be considered Confidential Information if such information is confirmed in writing as being Confidential Information within a reasonable time after the initial disclosure. Confidential Information may also include information disclosed to a disclosing party by third parties. Confidential Information will not, however, include any information which (a) was publicly known and made generally available in the public domain prior to the time of disclosure by the disclosing party, (b) becomes publicly known and made generally available after disclosure by the disclosing party to the receiving party through no action or inaction of the receiving party, (c) is already in the possession of the receiving party at the time of disclosure by the disclosing party as shown by the receiving party's files and records immediately prior to the time of disclosure, (d) is obtained by the receiving party from a third party without a breach of such third party's obligations of confidentiality, (e) is independently developed by the receiving party without use of or reference to the disclosing party's Confidential Information, as shown by documents and other competent evidence in the receiving party's possession, or (f) is required by law to be disclosed by the receiving party, provided that the receiving party gives the disclosing party prompt written notice of such requirement prior to such disclosure and assistance in obtaining an order protecting the information from public disclosure.
- Non-Use and non-disclosure. Each party agrees not to use any Confidential Information of the other party for any purpose except to exercise its rights and perform its obligations under this Agreement. Each party agrees not to disclose any Confidential Information of the other party to third parties or such party's employees, except to those employees of the receiving party with a need to know.
- Maintenance of Confidentiality. Each party agrees that it shall take reasonable measures to protect the secrecy of and avoid disclosure and unauthorized use of the Confidential Information of the other party. Without limiting the foregoing, each party shall take at least those measures that it takes to protect its own most highly confidential information and shall ensure that its employees who have access to the Confidential Information of the other party have signed a non-use and non-disclosure agreement in content similar to the provisions hereof, prior to any disclosure of Confidential Information to such employees. Neither party shall make any copies of the Confidential Information of the other party unless the same is previously approved in writing by the other party. Each party shall reproduce the other party's proprietary rights notices on any such approved copies, in the same manner in which such notices were set forth in or on the original.
- Return of Materials. Upon the termination of this Agreement, each party shall deliver to the other party all such other party's Confidential Information that such party may have in its possession or control.
